Wholesale Terms & Conditions

1. Who These Terms Apply To
These Wholesale Terms & Conditions govern the purchase of Viva Health Co. products for resale by approved wholesale accounts. Viva Health Co. is a brand of Sarah-Jane Lifestyles LLC (“Viva,” “we,” “us”), located at 43 Hindman Drive, Greenville, SC 29609. By submitting a wholesale order, you agree to these terms. They apply in addition to our Return & Refund Policy, Shipping Policy and Privacy Policy.
2. Account Approval
Wholesale purchasing requires an approved account. We may request business documentation, including a resale certificate or business licence, before approving an account. Approval is at our discretion, and we may decline or close an account at any time. Wholesale pricing is visible only to approved accounts and is confidential.
3. Orders, Pricing and Payment
Order minimums, wholesale pricing, and payment terms are those stated on your approved account and on the order confirmation for each order. Pricing is subject to change; the price in effect at the time we accept your order applies. Orders are not binding until we accept them, and we may limit or decline any order, including where product availability is constrained.
4. Resale Conditions
Product is sold for resale in its original, unopened, unaltered packaging. You may not repackage, relabel, decant, alter, or combine the product with other goods, and you may not remove or obscure lot numbers, expiry dates, or any label content. Product must be stored and handled per the packaging and sold before its expiry date.
5. Authorised Channels
Approved accounts may resell in their own physical locations and on their own branded website. Resale on third-party online marketplaces is not permitted without our prior written consent. Advertised pricing is subject to our MAP & Channel Policy.
6. Marketing and Product Claims
These products are dietary supplements. You may not make, publish, or repeat any claim that a Viva product diagnoses, treats, cures, or prevents any disease, or any claim not present in our own published materials. You may use our brand names and imagery only to advertise genuine Viva product you have purchased, and only in unaltered form. We may require any non-compliant material to be corrected or removed.
7. Title, Risk and Inspection
Title and risk of loss pass on delivery to the carrier. Inspect every shipment on arrival; shortages, damage, or incorrect product must be reported as set out in our Return & Refund Policy.
8. Independent Businesses
Nothing in these terms creates a partnership, franchise, agency, employment, or exclusive relationship. You are an independent business and may not represent yourself as an agent of Viva or bind us to any obligation.
9. Limitation of Liability
To the fullest extent permitted by law, Sarah-Jane Lifestyles LLC is not liable for any indirect, incidental, special, or consequential damages, including lost profits, arising from the sale or resale of our products. Our total liability for any claim will not exceed the amount you paid for the product at issue.
10. Termination
Either party may end the wholesale relationship at any time on written notice. Accepted orders that are already paid for will still be fulfilled. On termination you may sell through remaining inventory in accordance with these terms.
11. Governing Law
These terms are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any dispute arising under these terms will be resolved in the state or federal courts located in Greenville County, South Carolina.
12. Changes to These Terms
We may update these terms. The version in effect when we accept your order is the version that applies to that order.
